Terms of Service

These Terms of Service (“Terms”) govern access to and use of SmartProp Audit, a service of Asadi Business Consulting, Inc. (“SmartProp Audit,” “we,” “us,” or “our”).

By creating an account, submitting an assessment, or using the service, you agree to these Terms.

1. SmartProp Audit Service

SmartProp Audit provides independent, AI-assisted property and property-management assessment services designed to help property owners better understand documented property operations, management performance, property conditions, risks, documentation gaps, and matters that may require attention.

Services may include review of submitted records, property information, financial and operating information, maintenance records, lease-related information, inspection materials, photographs, and other documentation.

Depending on the scope of an engagement, services may also include consultant review, property observations or inspections, photographic or drone-related observations where separately applicable, recommendations, and action planning.

2. Independent Assessment

SmartProp Audit provides an independent assessment for the property owner. SmartProp Audit is not the user's property manager and does not assume the property manager's contractual or operational responsibilities.

Our assessment does not automatically establish wrongdoing, negligence, breach of contract, or legal liability by a property manager, vendor, tenant, or other person. Findings should be evaluated in context and, where appropriate, verified with the relevant party.

3. Nature and Limitations of the Service

Unless separately agreed in writing, SmartProp Audit is NOT:

SmartProp Audit may identify issues that warrant review by attorneys, accountants, engineers, contractors, insurance professionals, inspectors, pest-control professionals, or other appropriately licensed specialists. Users remain responsible for obtaining appropriate professional advice when necessary.

4. AI-Assisted Analysis

SmartProp Audit uses artificial intelligence to assist with document review, information extraction, analysis, and preparation of draft findings.

AI-generated information can contain errors, omissions, or incorrect interpretations. SmartProp Audit therefore uses AI as an analytical aid rather than as the sole basis for final conclusions. Final reports are subject to consultant review before release.

Users should independently verify material information before making significant financial, legal, operational, insurance, construction, or property-management decisions.

5. Information and Documents You Provide

You agree to provide information that you reasonably believe to be accurate and relevant to the requested assessment.

You are responsible for having appropriate authority to provide documents and information submitted to SmartProp Audit.

If submitted records contain information regarding tenants, residents, property managers, vendors, employees, or other third parties, you are responsible for ensuring that your submission and use of that information is lawful and appropriate.

You should remove or redact unnecessary sensitive information where practical.

6. Reliance on Available Information

SmartProp Audit assessments are based on information available to us at the time of review. Missing, incomplete, inaccurate, outdated, inconsistent, or unavailable documents may affect findings.

The absence of a finding does not mean that no problem, defect, violation, financial issue, management issue, or other risk exists. SmartProp Audit does not guarantee that every issue will be discovered.

7. Property Observations and Inspections

If an engagement includes an on-site property observation, photography, drone imagery, or review of property conditions, the scope is limited to the services expressly agreed upon.

Unless separately stated in writing, such observations are not comprehensive building, structural, code, environmental, pest, electrical, plumbing, roofing, HVAC, or engineering inspections. Specialist evaluation may be recommended where appropriate.

8. Reports and Recommendations

Assessment reports are intended to help property owners understand available information, prioritize issues, ask better questions, and determine possible next steps. Recommendations are informational and advisory.

The property owner remains responsible for decisions concerning the property, property manager, tenants, vendors, repairs, contracts, finances, insurance, and legal matters.

9. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account. You agree to notify SmartProp Audit if you believe your account has been accessed without authorization.

11. Fees and Payment

Certain SmartProp Audit services may be complimentary, pilot, custom, or paid engagements. Pricing, scope, payment timing, and deliverables may be established separately for each engagement.

SmartProp Audit does not currently process online payments. Where fees apply, applicable payment and cancellation terms may be provided in the proposal, engagement agreement, invoice, or other written agreement.

12. Intellectual Property

The SmartProp Audit platform, branding, methodologies, report formats, software, design, and related materials are owned by or licensed to Asadi Business Consulting, Inc., except for information and materials supplied by users or third parties.

Users may use assessment reports prepared for them for legitimate property ownership, management, professional, financing, insurance, or advisory purposes, subject to applicable law and any separate engagement terms.

13. Third-Party Services

SmartProp Audit relies on third-party technology and service providers. Availability or performance of those services may affect SmartProp Audit. We are not responsible for third-party services outside our reasonable control.

14. No Guarantee of Results

We do not guarantee that using SmartProp Audit will prevent losses, improve property-manager performance, increase property value, reduce expenses, prevent litigation, detect every issue, or produce any particular financial or operational outcome.

15. Limitation of Liability

To the fullest extent permitted by applicable law, Asadi Business Consulting, Inc. and SmartProp Audit will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to use of the service.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

16. Indemnification

To the extent permitted by law, users agree to be responsible for claims arising from their unlawful use of the service, unauthorized submission of third-party information, or material violation of these Terms.

17. Suspension or Termination

We may restrict or terminate access where reasonably necessary because of misuse, security concerns, legal requirements, nonpayment where applicable, or material violation of these Terms.

Users may stop using SmartProp Audit at any time, subject to obligations arising from an existing paid engagement.

18. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

19. Changes to These Terms

We may update these Terms as the service evolves. Updated Terms will display a revised effective date. Where appropriate, users may be asked to accept materially revised Terms before continuing to use certain services.
